Welcome to Vocally by SandLogic Technologies (“Vocally,” “SandLogic”, “we,” “us,” or “our”). These Terms of Service (“Terms”) govern your use of our website, mobile application, and any related services (collectively, the “Service”). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree to any part of these Terms, you must discontinue using the Service immediately.
1.1 Binding Agreement: By creating an account, accessing, or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms, as well as our Privacy Policy (which is incorporated herein by reference).
1.2 Eligibility: You must be at least 13 years old, or the age of majority in your jurisdiction, to use the Service. If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.
2.1 Modifications: We may update or revise these Terms from time to time. We will notify you of any material changes by posting the new Terms on our website or by sending you an email. The “Last Updated” date at the top indicates when these Terms were last revised. Your continued use of the Service after the posting of revised Terms constitutes your acceptance of the changes.
3.1 Purpose: Vocally allows you to record, upload, or type your thoughts and transform them into organized, searchable, and shareable text.
3.2 Access and Functionality: Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your personal or internal business purposes. We reserve all rights not expressly granted in these Terms.
4.1 Registration: To access certain features, you may be required to create an account. You agree to provide accurate, current, and complete information, and to promptly update your account information if it changes.
4.2 Account Security: You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account. Notify us immediately of any unauthorized use of your account or breach of security.
5.1 Definition: “User Content” includes any audio recordings, text, uploads, or other materials that you record, type, or upload to the Service.
5.2 Rights and License: You retain all rights to your User Content. By posting or uploading User Content to the Service, you grant Vocally a non-exclusive, worldwide, royalty-free license to store, display, reproduce, and distribute your User Content solely for the purpose of operating and providing the Service.
5.3 User Responsibility: You are solely responsible for the User Content you submit. You represent and warrant that you own or have the necessary licenses, rights, consents, and permissions to upload such User Content.
7.1 Vocally Property: All content, trademarks, service marks, and logos on the Service (excluding User Content) are the exclusive property of Vocally or its licensors and are protected by applicable intellectual property laws.
7.2 Feedback: Any comments, ideas, or suggestions you provide regarding Vocally or the Service (“Feedback”) are entirely voluntary, and we may use or not use such Feedback without any obligation or compensation to you.
8.1 Fees and Billing: Some features of the Service may be offered on a paid subscription basis or require payment of fees. By choosing a paid plan, you agree to pay all applicable charges according to the billing terms presented to you at checkout.
8.2 Refunds: Refunds, if any, will be handled in accordance with our refund policy, available on our website or through your account settings. All fees are non-refundable unless otherwise specified in a separate written agreement.
9.1 Termination by You: You may terminate your account at any time by following the instructions in your account settings or contacting us.
9.2 Termination by Vocally: We reserve the right to suspend or terminate your access to the Service or your account at any time, with or without notice, for any or no reason, including violation of these Terms.
9.3 Effect of Termination: Upon termination, your right to access and use the Service will immediately cease. We may retain your User Content for a commercially reasonable period of time for backup, archival, or audit purposes.
10.1 Warranty Disclaimer: The Service is provided on an “AS IS” and “AS AVAILABLE” basis. To the fullest extent permitted by law, Vocally disclaims all warranties, whether express or implied, including merchantability, fitness for a particular purpose, non-infringement, and any warranties arising out of course of dealing or usage of trade.
10.2 No Guarantee: Vocally does not guarantee the accuracy, completeness, or timeliness of any information or data available through the Service, nor does it guarantee that the Service will be uninterrupted, secure, or error-free.
To the maximum extent permitted by applicable law, SandLogic Technologies and its affiliates, directors, officers, employees, agents, partners, suppliers, and licensors will not be liable to you or any third party for any damages whatsoever—including, without limitation, direct, indirect, incidental, consequential, special, exemplary, punitive, or other losses of any kind (whether foreseeable or unforeseeable, and regardless of the legal theory)—arising out of or in connection with: (a) these Terms; (b) your access to, use of, or inability to use the Service; or (c) any content or data transmitted through the Service, even if SandLogic Technologies has been advised of the possibility of such damages.
You agree to defend, indemnify, and hold harmless Vocally, its affiliates, and their respective officers, directors, employees, and agents, from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys’ fees, arising out of or in any way connected with your use of the Service, your breach of these Terms, or your User Content.
These Terms shall be governed by and construed in accordance with the laws of India. Any dispute arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts in Bengaluru, India.
You agree to first try to resolve any dispute with us informally by contacting us. If we are not able to resolve the dispute, you or we may pursue legal remedies in the courts located in Bengaluru, India. Nothing herein restricts either party’s right to seek injunctive or equitable relief in a court of competent jurisdiction.
15.1 Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and Vocally regarding your use of the Service and supersede all prior or contemporaneous communications.
15.2 Severability: If any provision of these Terms is found invalid or unenforceable, the remaining provisions will remain in full force and effect.
15.3 No Waiver: No waiver of any provision or right under these Terms shall be effective unless in writing and signed by an authorized representative of SandLogic Technologies. Failure to enforce any provision of these Terms shall not constitute a waiver of future enforcement.
15.4 Assignment: You may not assign or transfer these Terms, by operation of law or otherwise, without our prior written consent. We may freely assign these Terms.
